What is IPO Prime?
IPO Prime is Bitget's global asset subscription platform, focused on investment opportunities in companies before listing and during their initial public offering (IPO). Eligible users can participate using supported stablecoins, with no need to open a separate overseas brokerage account. The platform has two sections:Pre-IPO: Participate before the company goes public. Assets are delivered as pre-tokens, which are new-issue subscription tokens. Each pre-token represents a debt the issuer owes to the holder and is designed to reflect the company's performance.IPO: Participate during the company's formal IPO phase. Subscriptions are settled at the official issue price, and allocated assets are delivered as rTokens backed by real shares.
How do IPO subscriptions on Bitget IPO Prime differ from subscriptions through a traditional broker?
IPO Prime brings IPO subscriptions into your crypto asset account, making participation easier and more flexible:Pay directly with stablecoins: Subscribe using your Bitget account and supported stablecoins. No separate overseas brokerage account is needed, which cuts down on account-opening steps and cross-platform fund transfers.Small amounts welcome: Fractional share allocations are supported, so you don't need enough to buy a whole share, and you can size your commitment to suit your needs.Institutional-grade IPO placement access: Through a professional institutional placement network linked to leading global funds and family offices, eligible investors gain institutional-grade access that's distinct from the traditional retail subscription model.Allocated assets are delivered as rTokens backed by real shares. Once they arrive and trading opens, you can hold or trade them directly on Bitget. For specific eligibility, allocation results, and delivery arrangements, refer to the relevant announcements.
How does the estimated issue price differ from the final issue price?
When you commit funds, the final IPO issue price may not yet be determined, so the page shows an estimated issue price for reference. The final issue price is set by the issuer and underwriters based on subscription demand, market conditions, valuation, and other factors, and may be higher or lower than the estimate. Bitget does not determine the final issue price. Subscriptions are settled at the official issue price plus applicable fees.
When is the final IPO issue price confirmed?
The final issue price is usually announced after the underwriters confirm it on the IPO pricing date. Bitget updates the project page once it receives confirmation. The exact timing depends on when the issuer and institutions confirm the price, and the estimated price is not a commitment to the final price.
What are the allocation rules?
Bitget calculates your allocated amount based on the share allocation it actually obtains for the relevant project or round, the pre-announced allocation rules, and your valid commitment. The specific rules are displayed on the subscription page.Popular projects may be oversubscribed. The amount you commit isn't necessarily the amount you’ll be allocated, and Bitget does not guarantee a full allocation or a fixed allocation rate.
What happens to unallocated funds?
At allocation settlement, the platform deducts only the amount required for your actual allocation and the corresponding underwriting service fee. Any remaining funds are unfrozen and returned after the allocation period ends, in line with the applicable rules.
What is the underwriting service fee, and how is it charged?
The underwriting service fee is a subscription-related fee charged by the project's partner fund, broker, or placement channel. The specific fee rate and calculation method are shown before you commit funds. The fee is charged only on the portion actually allocated to you and is already included in your committed amount, so there's nothing extra to pay.
When are allocation results confirmed, and when are assets delivered?
Once the final issue price and channel allocation are determined, the platform completes the allocation calculation and publishes the allocation results. Allocation confirmation and asset delivery are separate steps. rTokens are delivered according to the project's pre-announced delivery schedule. Delivery times may vary by project or round, and actual progress may be affected by broker settlement, custody, and system processing.
How do subscription rounds for the same project differ, and can I participate in more than one at the same time?
Eligibility, commitment limits, fees, allocation rules, and delivery times may vary by round. Refer to the subscription page for details. Eligible users can participate in multiple rounds at the same time.
What risks should I understand before participating in an IPO subscription?
Issuance change risk: An IPO may be delayed, suspended, or canceled due to market, regulatory, or issuance-related reasons. In such cases, Bitget will handle the subscription in accordance with the applicable product terms and release the corresponding frozen funds. Specific handling and timing will follow the product terms and notices.Allocation and delivery risk: Submitting a subscription does not mean you will receive an allocation or a full allocation. Asset delivery may be delayed by issuance arrangements, settlement processes, or third-party channel processing, and you may be unable to trade within the expected timeframe.Price and liquidity risk: The stock price may fluctuate significantly after the IPO and may even fall below the issue price and your subscription cost, including fees. The relevant assets may also have insufficient liquidity or be suspended from trading, or you may not be able to sell them in time. You may lose part or all of your principal.Tokenized asset risk: If the delivered asset is a tokenized stock or another tokenized asset, its legal nature and holder rights may differ from those of directly held shares, and it should not automatically be treated as conferring shareholder status, voting rights, or other shareholder rights. Its price may also deviate from the underlying stock price. Specific rights and redemption arrangements are set out in the product terms.Third-party and technical risk: The product may involve the issuer, custodian, and other service providers, and issues with their operations, performance, or solvency may affect asset delivery, trading, or redemption. In addition, blockchain network congestion, smart contract vulnerabilities, or other technical failures may cause delays or losses.Regulatory and regional restrictions: The regulatory status and availability of the relevant products vary by jurisdiction, and regulatory changes may affect subscription, holding, trading, or redemption. You should confirm that you meet the eligibility requirements and comply with the laws and regulations where you live.Understand the risks before you participate: This FAQ only summarizes the main risks. It isn't investment advice and doesn't cover every risk. Carefully read the risk warning and product terms on the relevant subscription page, and make your decision based on your own financial situation and risk tolerance.
